FileEaters Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the FileEaters macOS application, website, and related services (collectively, the “Services”). The Services are operated by FileEaters Corp. (“FileEaters”, “we”, “us”, or “our”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services
1. Eligibility and Authority
You must be at least 13 years old to use the Services. If you are under 18, you may use the Services only with the involvement and consent of a parent or legal guardian.
If you use the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
2. Description of the Services
FileEaters is a macOS application that allows users to analyse, process, and organise audio files, including identifying instruments in audio stems and generating derived audio outputs.
The Services operate only on content that you choose to upload, analyse, or otherwise submit. FileEaters does not independently source or ingest audio content.
3. Accounts and Access
Some features of the Services may require you to create an account.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorised use or security breach.
We may suspend or terminate access to the Services if we reasonably believe your account has been compromised or is being misused.
4. Cloud Storage Integration
At the user’s request, the Services may integrate with third-party cloud storage services, including Google Drive and Dropbox, to allow users to select audio files for processing and to upload processed outputs back to their accounts.
FileEaters accesses only the files and folders explicitly selected by the user and does not scan, index, modify, or delete cloud storage content without the user’s instruction. Access is provided via the applicable authorisation process of the third-party provider and may be revoked by the user at any time through their account settings with that provider.
5. Your Content
You retain ownership of all audio files and other content you submit through the Services (“User Content”).
You grant FileEaters a limited, non-exclusive, non-transferable licence to process User Content solely for the purpose of providing the Services you request.
FileEaters does not use User Content to train artificial-intelligence or machine-learning models and does not incorporate User Content into datasets, derivative works, or content generation systems.
You represent and warrant that you have all rights necessary to submit and process User Content.
6. Acceptable Use
You agree not to use the Services for unlawful purposes, to infringe the rights of others, to interfere with system security, or to attempt to reverse engineer the software except where permitted by law.
We reserve the right to suspend or terminate access for violations of this section.
7. Fees and Payment
Certain features may require payment. Fees are disclosed in advance and processed by third-party providers, including Stripe. By purchasing paid features, you agree to Stripe’s applicable terms and policies. FileEaters does not process or store full payment card details and is not responsible for the payment processor’s systems. Except where required by law, fees are non-refundable.
8. Intellectual Property
The Services and underlying technology are owned by FileEaters or its licensors and are protected by intellectual-property laws. These Terms grant you a limited right to use the Services. No ownership rights are transferred to you.
9. Termination
You may stop using the Services at any time.
We may suspend or terminate access if you violate these Terms, if required by law, or if continued operation presents legal or security risk.
10. Disclaimers
The Services are provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties.
Nothing in these Terms limits non-waivable consumer rights.
11. Limitation of Liability
To the maximum extent permitted by law, FileEaters will not be liable for indirect, incidental, or consequential damages.
Total liability will not exceed the amount you paid in the preceding twelve months, or USD 100 if no fees were paid.
12. Indemnification
You agree to indemnify and hold harmless FileEaters from claims arising from your use of the Services or User Content.
13. Export Controls
The Services are subject to United States export control laws. You agree not to use, export, or re-export the Services in violation of applicable export or sanctions laws.
14. Force Majeure
FileEaters will not be liable for any failure or delay caused by events beyond its reasonable control, including natural disasters, network outages, war, labour disputes, or governmental actions.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of California, excluding conflict-of-law rules.
EU and UK consumers retain mandatory statutory rights.
16. Arbitration and Class Action Waiver (United States Only)
For users located in the United States, any dispute arising from these Terms or the Services shall be resolved by binding arbitration on an individual basis, and not in a class or representative action.
This section does not apply to users located in the European Union or United Kingdom.
17. DMCA Copyright Policy (Conditional)
If FileEaters hosts or displays user-submitted content, we comply with the Digital Millennium Copyright Act and will respond to valid takedown notices. Repeat infringers may have access terminated.

18. Assignment
You may not assign these Terms without our prior written consent. FileEaters may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.
19. Entire Agreement; Severability; Waiver
These Terms constitute the entire agreement between you and FileEaters regarding the Services.
If any provision is held unenforceable, the remainder will remain in effect. Failure to enforce any provision is not a waiver.
Headings are for convenience only. “Including” means “including without limitation”.
20. Changes to These Terms
We may update these Terms from time to time. Continued use after changes constitutes acceptance.
